1. Introduction

These Terms and Conditions govern your access to and use of the Site, as well as any quotation, order, or transaction placed with us. By accessing the Site or submitting an inquiry or order, you agree to be bound by these Terms. If you do not agree, please do not use our Site.

2. Eligibility & Business Use

Our products and services are intended for business buyers, including wholesalers, distributors, importers, retailers, and trade professionals. By placing an order, you represent that you are acting in a business capacity and have authority to bind your company to these Terms.

3. Product Information

We make reasonable efforts to display product images, specifications, compatibility, and measurements accurately. However, motorcycle parts may vary by model year, market, or manufacturer revision. Images are for illustration only. We reserve the right to modify or discontinue products without prior notice. It is the buyer’s responsibility to confirm part numbers, compatibility, and specifications before ordering.

4. Pricing

All prices are quoted in United States Dollars (USD) unless otherwise stated and are exclusive of shipping, insurance, customs duties, taxes, and any other import-related charges, unless explicitly agreed in writing. Prices are subject to change without notice due to material costs, exchange rate fluctuations, or market conditions. A price quoted remains valid for 15 days from the quotation date unless otherwise stated on the quotation.

5. Quotations & Orders

A quotation is an offer and not a binding contract. An order becomes binding only after we issue a signed Proforma Invoice (PI) and the buyer returns it with the required deposit or full payment. We reserve the right to accept or decline any order. The buyer is responsible for verifying all details on the PI, including part numbers, quantities, prices, and delivery address.

6. Payment Terms

  • Standard terms: 30% deposit upon order confirmation, 70% balance before shipment (or against copy of bill of lading), unless otherwise agreed in writing.
  • Payment is accepted by bank telegraphic transfer (T/T), or other methods specified on the PI.
  • Orders will not be processed or shipped until payment has been received and cleared.

7. Shipping & Delivery

  • Delivery dates are estimates only and commence from receipt of cleared payment and all necessary buyer information.
  • We ship on FOB, CIF, or EXW terms as agreed on the PI. The buyer bears all risks of loss or damage once goods have been delivered to the carrier.
  • The buyer is solely responsible for import clearance, customs duties, value-added tax (VAT), and any other local taxes or charges in the destination country.
  • We are not liable for delays caused by carrier schedules, port congestion, customs inspection, force majeure, or events beyond our reasonable control.

8. Warranty & Returns

  • We warrant that products will be free from material defects in workmanship under normal use at the time of delivery.
  • Wear-and-tear items (including brake pads, clutch plates, and similar consumables) are covered against manufacturing defects only, not against normal wear.
  • Claims for damaged, defective, or incorrect goods must be reported within 7 days of arrival, supported by clear photos or videos. Approved claims will be resolved by replacement, spare parts, or credit at our discretion.
  • Returns require prior written authorization. The buyer is responsible for return shipping costs unless the item is confirmed defective. Customized, OEM, or made-to-order items are non-returnable.

9. Intellectual Property

All content on the Site, including logos, images, text, and product designs, is the property of YEAHOU or its licensors and is protected by intellectual property laws. You may not copy, reproduce, or use our content for commercial purposes without our written permission. If you provide us with your trademark, logo, or packaging design for OEM production, you represent that you own or have the necessary rights to use it, and you indemnify us against any claim of infringement.

10. Limitation of Liability

To the fullest extent permitted by law, YEAHOU shall not be liable for any indirect, incidental, special, or consequential damages, including lost profits or loss of business, arising from the use of our products or Site. Our total liability for any claim shall not exceed the value of the specific order giving rise to the claim.

11. Compliance & Export Control

The buyer agrees to comply with all applicable export, import, and trade laws of both China and the destination country. The buyer is responsible for obtaining any required import licenses or approvals.

12. Governing Law

These Terms are governed by the laws of the People’s Republic of China. Any dispute shall first be resolved through friendly negotiation. If negotiation fails, either party may submit the dispute to a competent court in our jurisdiction.

13. Amendments

We reserve the right to update these Terms at any time. The updated version will be posted on this page with a revised “Last updated” date. Continued use of the Site after changes constitutes acceptance.
